Terms & Conditions
Effective date: 1 April 2025. The terms governing use of the Circle8 platform by producers, recyclers, and other registered users.
1. Introduction
1.1 Company name, registered address, and incorporation details
The portal https://circle8.in/ (“Website/ Platform”) is owned, managed and operated by Circle8 Cleantech Private Limited, CIN U39000MH2025PTC440574 incorporated under the Companies Act, 2013, having its registered office at WeWork, Floor-2, Plot-264/265, Vaswani Chambers, Dr Annie, Worli Colony, Mumbai, Mumbai, Maharashtra, India, 400025.
“We/we”, “Our/our, “Us/us”, “Platform”, “Circle8”, “the Company” or “the Service Provider” refers to Circle8 Cleantech Private Limited and shall include its successors and assignees. “You/you”, “Your/your”, “Yourself/yourself” or “the User” shall mean the prospective or existing customer or his/her legal representative and any other user accessing the Site.
This document and any documents referred to within it (collectively, the “Terms of Use”, “Terms” or the “Agreement”) set out the terms of usage on the platform. Please read and understand these Terms of Use before using our Platform. This document sets forth the legally binding terms and conditions for your use of the Platform.
These Terms of Use are published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, and are an ‘electronic record’ as contemplated under section 2(t) of the Information Technology Act, 2000 read with the rules and any other act that may be applicable. These Terms being an electronic record are generated by a computer system and do not require any signature.
Accessing, browsing, registering or otherwise using the Platform in any manner will be construed as your unequivocal and irrevocable acceptance and acknowledgement to the terms and conditions contained under Terms of Use and binding policies hereof. By using the Platform, you declare to have carefully read, understood and agree to be bound by these Terms of Use. Circle8 may at its sole discretion allow access to the Platform and reserves the right to change any of the terms and conditions contained herein at any point in time and continued use of the platform implies continued acceptance. IF YOU DO NOT AGREE TO THESE TERMS, YOU SHOULD NOT ACCESS, BROWSE, REGISTER TO AND/OR USE THIS PLATFORM IN ANY MANNER. YOU MAY ALSO REQUEST FOR REVOKING YOUR CONSENT ANY TIME.
You explicitly and expressly consent to receive communications from Circle8 in relation to your use and access of the Platform and its services and agree that such communications shall not be treated as an unsolicited communication.
1.2 Scope of the platform
Circle8 is a digital platform operated by Circle8 Cleantech Private Limited designed to facilitate transparent, compliant, and efficient Extended Producer Responsibility (EPR) credit transactions under Indian environmental regulations. The platform serves as a digital marketplace and documentation portal for:
- Listing and matching of EPR Credits between eligible sellers (such as recyclers, co-processors, and waste processors) and obligated entities (PIBOs).
- Providing end-to-end compliance support, including transaction documentation, certification uploads, and audit trails.
- Enabling digital tracking and visibility of EPR Credit fulfillment aligned with Central Pollution Control Board (CPCB) and Ministry of Environment, Forest and Climate Change (MoEFCC) regulations.
- Supporting multiple waste categories including plastic, e-waste, batteries, tyres and used oil in accordance with relevant EPR frameworks.
Circle8 does not take ownership or liability for the quality or legal standing of the credits traded. The platform functions solely as a compliance facilitation tool and neutral digital intermediary.
1.3 Acceptance of terms by users
By accessing or using the Circle8 platform, including account registration, credit listing, purchasing, documentation, or any other related services, users (including Buyers, Sellers, Recyclers, Brand Owners, and their authorized representatives) agree to be legally bound by these Terms & Conditions.
Users also acknowledge that they have read, understood, and consented to:
- Comply with applicable laws, including CPCB guidelines and relevant EPR Rules.
- Uphold the accuracy and integrity of all data and documents submitted.
- Use the platform solely for lawful and regulatory-compliant purposes.
- Be responsible for their actions, submissions, and transactions on the platform.
2. Definitions
Unless the context otherwise requires, the following terms shall have the meanings assigned below:
- 2.1 “User” — Any individual or entity who accesses, registers, or transacts on the Circle8 platform, including but not limited to Buyers, Sellers, Producers, Recyclers, and other stakeholders.
- 2.2 “Buyer” — A registered Producer, Importer, Brand Owner or authorized entity seeking to purchase EPR Credits on the Circle8 platform to fulfill their Extended Producer Responsibility obligations.
- 2.3 “Seller” — An authorized entity such as a registered recycler, co-processor, waste processor or any authorized entity offering verified EPR Credits for sale in compliance with CPCB guidelines and any other laws applicable in force.
- 2.4 “EPR Credits” — Electronic certificates representing the environmentally sound collection, recycling, or processing of a specific quantity of waste, generated and transacted in accordance with laws in force.
- 2.5 “Obligated Entities” — Obligated entities are Producers, Manufacturers, Importers, and Brand Owners as defined under Rule of the Plastic Waste Management Rules, 2016; E-Waste (Management) Rules, 2016; Battery Waste Management Rules, 2022; Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2016; Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2022; read with any amendments thereto who are legally mandated to fulfill EPR obligations by acquiring eligible EPR Credits.
- 2.6 “Portal” or “Platform” — The online digital platform operated by Circle8 Cleantech Private Limited that enables listing, matching, documentation, and reporting of EPR Credit transactions among registered users.
- 2.7 “Services” — All tools, features, support, and facilitation offered by Circle8 via the Portal, including account creation, credit listings, documentation, compliance tracking, and reporting tools.
- 2.8 “Circle8” — Refers to Circle8 Cleantech Private Limited, a private limited company incorporated under the Companies Act, 2013, operating the digital marketplace for EPR Credit transactions in India.
- 2.9 “CPCB” — The Central Pollution Control Board, under the Ministry of Environment, Forest and Climate Change (MoEFCC), Government of India.
- 2.10 “Documentation” — Refers to all legal, regulatory, and compliance-related paperwork including recycler certificates, CPCB approvals, invoices, transaction proofs, and supporting evidence required for EPR compliance.
3. Eligibility
3.1 Minimum age (18+), valid business registration, and compliance with Indian laws
To use the Circle8 Platform either by registration or by any means shall be available only to the person who are Indian citizens and residents of India, 18 years of above age, and who are competent to enter into a contract as per the Indian Contract Act, 1872 and not barred from entering into a contract by any law for the time being in force.
Any minor wishing to transact and access the Platform shall do so through their legal guardian or parents only. If any minor accesses or avails any of the services offered by the Platform without supervision of their legal guardian or parents, Circle8 shall not be held liable in any capacity for such use of Platform by the minor.
3.2 Requirement for KYC and CPCB registration (if applicable)
To ensure compliance with applicable Indian environmental regulations and maintain the integrity of transactions on the Circle8 platform, all users are required to undergo a mandatory Know Your Customer (KYC) verification and provide a valid proof of Central Pollution Control Board (CPCB) registration, wherever applicable.
a. KYC Documentation — All users (including but not limited to Producers, Importers, Brand Owners (PIBOs), manufacturers, Recyclers, and Co-processors) must submit the following for verification:
- Company’s PAN Card
- Company’s GST Registration Certificate
- Authorized Signatory’s ID Proof (Aadhaar/PAN)
- Proof of Company’s Address (utility bill, lease agreement, etc.)
- Company’s Bank Account Details (for payment settlement)
Circle8 reserves the right to request additional documentation or certification if necessary to validate the identity and legal standing of any user.
b. CPCB Registration — All entities participating in EPR Credit transactions must hold a valid CPCB registration under the Plastic Waste Management Rules, 2016; E-Waste (Management) Rules, 2016; Battery Waste Management Rules, 2022; Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2016; Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2022 (as amended).
- Producers, Importers, Brand Owners (PIBOs), manufacturers must be registered with the CPCB or the relevant State Pollution Control Board (SPCB), as applicable.
- Recyclers and Co-processors must provide valid CPCB authorization and their current operational status.
Entities failing to produce valid CPCB registration details will not be allowed to list, transact, or claim any compliance services through the Circle8 platform. Circle8 reserves the right to get such information verified as may be required.
c. Verification and Approval — Upon submission, Circle8 will review and verify all documents within a reasonable timeframe. Approval is subject to validation of information with government databases where necessary. Circle8 may deny or suspend access to the platform for users providing false, outdated, or incomplete information.
4. User Registration and Account
4.1 Account Creation Process
To access and use the services provided by Circle8 Cleantech Private Limited. (“Circle8”), users must create an account on the Circle8 platform. The account creation process requires submission of basic company and contact information, completion of KYC verification, and, where applicable, submission of CPCB registration like Consent to Operate and EPR Registration Certificate.
By creating an account, the user affirms that they are authorized to represent the entity and have the legal capacity to enter into binding agreements on its behalf.
Circle8 reserves the right to approve or reject account registrations at its sole discretion without providing any reasons and may also request additional information or clarification during the verification process.
4.2 Responsibility to Maintain Accurate Information
Users are solely responsible for ensuring that all information provided on the Circle8 platform — including company details, contact information, compliance records, and transaction data — is complete, accurate, and up to date at all times.
Any changes in ownership, operational status, registration validity, or legal standing must be promptly updated on the platform. Circle8 will not be held liable for any losses or legal implications arising from incorrect or outdated information provided by the user.
Providing false or misleading information may result in suspension or termination of the user account and may lead to legal action under applicable Indian laws. The user shall also indemnify Circle8 for such breaches and losses.
4.3 Security of Login Credentials
Users are responsible for maintaining the confidentiality and security of their account credentials, including usernames, passwords, and any authentication methods used to access the Circle8 platform.
Users must not share their login credentials with any unauthorized person or entity. Any actions taken using a user’s login credentials will be considered as having been performed by the user themselves.
In the event of unauthorized access, suspected compromise, or misuse of login credentials, the user must notify Circle8 immediately at support@circle8.in. Circle8 will not be liable for any loss or damage resulting from failure to safeguard login information.
5. Services Provided
5.1 Listing and matching of EPR Credits
Circle8 provides a digital platform that enables Producers, Manufacturers, Importers, and Brand Owners to list their EPR obligations and connect with registered Recyclers and Co-processors offering verified plastic waste recycling services.
The platform facilitates:
- Posting of credit requirements by PIBOs
- Display of available plastic, e-waste, batteries, tyres and oil credits by authorized recyclers
- Intelligent matching based on waste type, credit type, quantity, geography, and regulatory scope
Circle8 does not guarantee the availability of credits or the outcome of any transaction and acts only as a technology intermediary.
5.2 Documentation support
To streamline compliance, Circle8 offers tools and templates for:
- Uploading and managing invoices, manifests, and recycling certificates
- Ensuring that all documentation complies with CPCB guidelines and relevant State Pollution Control Board (SPCB) rules
Circle8 does not independently verify the authenticity of documents submitted by users but may conduct checks to uphold platform integrity by engaging third parties. Final responsibility for accuracy and legal compliance lies with the respective parties.
5.3 Compliance tracking
The platform offers features for real-time tracking and reporting of EPR Credit transactions and status of transactions:
- Dashboards to monitor obligation fulfillment
- Alerts for upcoming reporting deadlines
- Generation of transaction summaries and compliance reports in CPCB-acceptable formats
Circle8 may also assist in filing documentation to regulatory bodies upon request, though ultimate responsibility for statutory filings remains with the user.
5.4 Platform fees and transaction models
Use of certain features and services on the Circle8 platform may be subject to service fees. These include the below illustrative list:
- Processing-based fees on successful credit fulfillment
- Annual platform access subscriptions for enterprise users
- Optional documentation or consultancy support fees
- Any other fees that may be charged to assist the user
All fees will be transparently communicated during the transaction or onboarding process. Circle8 reserves the right to revise its pricing structure with prior notice.
Payments must be made as per the invoice terms, and applicable taxes (including GST). Non-payment of platform fees within the timelines as sated in the invoice may result in account suspension or restricted access to services.
6. User Obligations
6.1 Accurate and lawful use of the platform
Users agree to use the Circle8 platform only for lawful purposes and in compliance with all applicable Indian laws, including but not limited to the Plastic Waste Management Rules, 2016, E-Waste (Management) Rules, 2016; Battery Waste Management Rules, 2022; Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2016; Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2022; CPCB guidelines, and IT Act, 2000.
Users must not:
- Misrepresent their identity, company credentials, or compliance status
- Upload falsified or manipulated documents
- Attempt to interfere with the platform’s functionality or data
Any misuse of the platform or violation of legal requirements may result in suspension or permanent deactivation of the user’s account, and could lead to legal action. The user shall also indemnify Circle8 for such breaches and losses.
6.2 Non-transfer of credits outside the legal framework
All transactions conducted on Circle8 must adhere strictly to the Extended Producer Responsibility (EPR) framework set by the Central Pollution Control Board (CPCB).
Users shall not:
- Transfer or claim EPR credits without valid recycling or co-processing documentation
- Trade credits outside the regulatory boundaries or via unregistered entities
- Misuse the platform for speculative or fraudulent activities
Circle8 reserves the right to monitor and investigate transactions that appear inconsistent with regulatory norms and will cooperate with authorities in the event of violations.
6.3 Timely reporting and documentation
Users are solely responsible for ensuring timely submission and uploading of all necessary documentation related to EPR Credit transactions. This includes:
- Tax Invoices
- EPR Certificates
- Waste manifests
- Compliance filings required by CPCB or SPCBs
Delays or failure to upload required documentation may lead to disqualification of credits and non-recognition by the CPCB. Circle8 is not liable for any penalties or legal consequences arising due to the user’s failure to comply with reporting deadlines.
7. Pricing and Payments
7.1 Pricing mechanism
Circle8 operates as a technology platform facilitating Extended Producer Responsibility (EPR) credit transactions and related services. Pricing for services may vary based on the following factors:
- Type and quantity of EPR Credits being transacted
- Category of waste
- Service tier (standard listing, documentation support, compliance advisory, etc.)
- Geographical location and logistics support
Pricing details for each service or transaction will be transparently displayed on the platform. Circle8 reserves the right to update its pricing model.
7.2 Payment gateways used
Circle8 does not support digital payment gateways through the platform. Instead, payment is to be made via NEFT/RTGS bank transfer to the company’s bank account, the details of which will be shared with the user on the platform or verified email communication.
After initiating the transfer, users are required to:
- Upload a scan of original payment receipt or screenshot of the payment confirmation/transaction proof to the Circle8 platform, or
- Email the transaction proof to the designated Circle8 address i.e. transaction@circle8.in
Only upon confirmation of receipt by Circle8’s accounts team will the transaction or service process be initiated.
7.3 Taxes, TDS, and GST applicability
All prices quoted on the Circle8 platform are exclusive of applicable taxes, unless specified otherwise.
- Goods and Services Tax (GST): All services rendered by Circle8 are subject to GST as per the prevailing rates under Indian law.
- TDS (Tax Deducted at Source): Where applicable under the Income Tax Act, 1961, users (especially corporate entities) are required to deduct TDS on service payments and provide Circle8 with the corresponding TDS certificate (Form 16A).
- Invoices: Tax invoices will be generated and shared electronically upon completion of each transaction or service order.
Non-payment of taxes or failure to comply with invoicing and TDS obligations may result in service disruption or penalties as per Indian tax laws.
7.4 Payment Disclaimer and Optional Escrow System
Circle8 currently facilitates payment via NEFT/RTGS as shared through verified channels. Circle8 is not responsible for delays, errors, or fraud related to direct bank transfers conducted between Users. In the future, Circle8 may introduce escrow-based or third-party verified payment systems to enhance transaction security. Users agree that Circle8 shall not be liable for any disputes arising from direct payment transfers not routed through such mechanisms.
8. Compliance and Legal Use
8.1 CPCB guidelines adherence
All users of the Circle8 platform are required to fully comply with the Plastic Waste Management Rules, 2016, E-Waste (Management) Rules, 2016, Battery Waste Management Rules, 2022, Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2016, Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2022, (and its amendments), and the Extended Producer Responsibility (EPR) guidelines issued by the Central Pollution Control Board (CPCB).
This includes, but is not limited to:
- Registration on the CPCB EPR portal
- Fulfillment of annual waste recycling obligations
- Accurate reporting and submission of required documentation
Failure to comply with CPCB requirements may lead to regulatory action and can result in suspension of access to the Circle8 platform.
8.2 Responsibility of each party to maintain documentation
Each party transacting on the Circle8 platform—including Producers, Manufacturers, Importers, Brand Owners, Recyclers, and Co-processors—is solely responsible for:
- Uploading and maintaining valid and verifiable documentation (e.g., invoices, EPR certificates, manifest records, etc.)
- Ensuring all documents are authentic and consistent with CPCB reporting requirements
- Retaining backups of all submitted documents for audit or regulatory inspection purposes
Circle8 may provide tools to assist in documentation but does not independently verify or authenticate uploaded content unless explicitly agreed upon.
8.3 Role of Circle8 as an intermediary, not the liable party for non-compliance
Circle8 Cleantech Private Limited functions solely as a technology platform and facilitator for EPR credit discovery, matching, and documentation management.
Circle8 is not a party to any credit sale or purchase transaction and:
- Does not generate or validate EPR credits
- Does not assume responsibility for the accuracy of documentation provided by users
- Is not liable for any user’s non-compliance with CPCB rules or environmental regulations
All transactions on the platform are conducted at the discretion of the respective parties. Circle8 disclaims any liability arising from misreporting, regulatory penalties, or disputes between users.
9. Intellectual Property
9.1 Ownership of logos, content, platform technology
All content, features, and functionality on the Circle8 platform—including but not limited to:
- Company logos and trademarks
- Website and platform interface designs
- Source code, algorithms, databases
- Text, images, graphics, and data arrangements
- Proprietary tools for matching, tracking, and documentation
—are the exclusive property of Circle8 Cleantech Private Limited or its licensors. These materials are protected under applicable intellectual property laws in India and internationally. No part of the platform may be used in a manner that violates Circle8’s intellectual property rights without explicit written permission.
9.2 Restrictions on reuse, scraping, or copying platform content
Users of the Circle8 platform are strictly prohibited from engaging in any of the following actions:
- Reproducing, duplicating, or copying any portion of the platform, including its interface, databases, reports, or listings.
- Using bots, crawlers, scripts, or other automated systems to access, scrape, index, or extract data from the platform.
- Reverse engineering, decompiling, or attempting to extract the source code, algorithms, or structural design of any part of the platform.
- Republishing, distributing, or disclosing any data, analytics, or reports generated through the platform without prior written consent from Circle8.
- Using Circle8’s name, logo, or trademarks in any misleading, deceptive, derogatory, or unauthorized manner, including impersonation or misrepresentation.
Violation of any of the above restrictions may result in immediate suspension or termination of user access. Circle8 Cleantech Private Limited also reserves the right to initiate legal proceedings against individuals or entities found to be misusing or infringing upon its proprietary technology or content. The user shall also indemnify Circle8 for such breaches and losses.
9.3 License for Platform Use
Circle8 grants each registered user a limited, non-exclusive, non-transferable, revocable license to use the platform for lawful EPR-related activities in accordance with these Terms. Users are not permitted to sublicense, replicate, exploit, or modify any part of the Circle8 platform without written approval. Any violation of this license will result in immediate suspension and legal action for intellectual property infringement.
10. Confidentiality
10.1 Data confidentiality between parties
All users agree to maintain strict confidentiality regarding any sensitive business, operational, or compliance related data shared through the Circle8 platform. This includes, but is not limited to:
- EPR credit details and transaction history
- Invoices, certificates, and compliance documentation
- Business identities and contact information
- Pricing, volumes, and contract terms
Users agree not to share, disclose, distribute, sell, or replicate any data, analytics, reports, pricing tools, workflows, or proprietary insights accessed through the Circle8 platform for commercial or competitive use. The User also agrees not to reverse-engineer, replicate, or attempt to build similar tools or marketplaces based on Circle8’s proprietary processes. Any breach of this clause will attract immediate suspension and may lead to legal action for violation of confidentiality, data misuse, and breach of trust. Circle8 reserves the right to seek injunctive and monetary relief for any such violation.
10.2 Circle8’s data protection commitments
Circle8 Cleantech Private Limited is committed to protecting the privacy and data security of all users. We implement industry-standard measures to safeguard your information, including:
- Encrypted data storage and secure server infrastructure
- Restricted access controls and activity logging
- Regular audits and security updates
- Non-disclosure of user data to third parties without consent, unless legally obligated
User data is collected, processed, and retained only for the purpose of providing platform services and ensuring regulatory compliance. For more details, users may refer to our separate Privacy Policy, which outlines how we collect, store, and protect personal and transactional data.
11. Privacy Policy Reference
11.1 Link to Separate Privacy Policy Document
Users are encouraged to review our detailed Privacy Policy, which outlines how Circle8 Cleantech Private Limited collects, uses, stores, and safeguards personal and transactional information. This policy is available as a standalone document and forms an integral part of our terms of service.
11.2 Consent to Data Collection Under Indian Data Protection Laws
By using the Circle8 platform, you explicitly consent to the collection, processing, and storage of your data as per applicable laws.
You acknowledge and agree that:
- Your information may be stored on secure servers within India
- Data may be used to facilitate compliance filings, credit transactions, and platform analytics
- Your consent includes the use of data for regulatory reporting or disclosures if legally required
You may withdraw consent or request data deletion by contacting support@circle8.in, subject to applicable legal and operational constraints.
12. Limitation of Liability
12.1 Circle8’s limited role in disputes or compliance failures
Circle8 Cleantech Private Limited functions strictly as a neutral technology intermediary that facilitates the discovery, listing, and documentation of EPR Credit transactions between producers, recyclers, and other authorized parties.
Accordingly:
- Circle8 does not guarantee the performance, compliance status, or authenticity of any third party listed or transacting on the platform.
- The responsibility for regulatory compliance, documentation accuracy, and fulfillment of obligations lies solely with the transacting parties/ users.
- In the event of any disputes, defaults, or non-compliance (including issues related to credit quality, documentation, or payment), Circle8 is not liable or responsible to resolve such matters.
- Users are expected to conduct appropriate due diligence and enter into direct commercial agreements wherever required.
While Circle8 may, at its discretion, assist in facilitating communication or providing transaction records, it does not serve as a legal arbitrator and assumes no liability for resolution outcomes.
12.2 Disclaimer of warranties
The Circle8 platform and all related services are provided on an “as is” and “as available” basis without any warranties of any kind, express or implied.
To the fullest extent permitted under applicable law, Circle8 Cleantech Private Limited disclaims all warranties, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties regarding the accuracy, completeness, or reliability of content, listings, or data on the platform
- Any guarantee that the platform will be uninterrupted, secure, error-free, or free of viruses or harmful components
- Warranties related to the legality, authenticity, or enforceability of any transaction facilitated through the platform
Circle8 does not warrant or represent that:
- Platform users will fulfill their regulatory or contractual obligations
- EPR Credits listed on the platform are valid, verifiable, or acceptable by CPCB or state authorities
- Any specific results or compliance outcomes will be achieved by using the platform
Users assume full responsibility for the use of the platform and any decisions made based on the information or services provided.
13. Termination and Suspension
13.1 Grounds for termination (fraud, non-compliance, misuse)
Circle8 reserves the right to suspend or permanently terminate access to the platform under the following circumstances:
- Fraudulent activity, including falsification of documents, misrepresentation of credits, or identity fraud
- Regulatory non-compliance, such as repeated violations of CPCB guidelines or legal requirements under the EPR framework
- Misuse of the platform, including but not limited to unauthorized scraping, data manipulation, or spamming
- Violation of Terms & Conditions, Privacy Policy, or any contractual obligations with Circle8
- Disruption to platform operations, endangering data integrity or the experience of other users
Termination may be immediate and without prior notice if the breach is deemed serious or deliberate. The user shall also indemnify Circle8 for such breaches and losses.
13.2 Consequences and data retention policies
Upon termination:
- Access to your account and all associated features will be revoked
- Any pending transactions may be canceled or investigated
- Circle8 may report the incident to appropriate regulatory or enforcement authorities
Data Retention:
- Circle8 retains the right to store user records, documents, and transaction logs for a minimum of 5 years, or as required by Indian regulatory bodies for audit and legal purposes

14. Dispute Resolution
14.1 Governing law: Laws of India
These Terms & Conditions and any dispute or claim arising from them shall be governed and construed in accordance with the laws of the Republic of India, including all applicable rules and regulations issued under the EPR framework. All disputes, claims, or controversies arising out of or relating to these Terms or the use of the Circle8 platform shall be subject to the exclusive jurisdiction of the courts situated in Mumbai, Maharashtra, India. Users hereby consent to the jurisdiction and venue of such courts and waives its right to raise its dispute in any other court.
14.2 Arbitration clause
If any dispute arises between the parties that cannot be resolved amicably within 30 days, it shall be referred to and finally resolved by arbitration as follows:
- The arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996.
- The arbitration shall be administered by a sole arbitrator mutually appointed by the parties. In case of disagreement, the arbitrator shall be appointed in accordance with Indian law.
- The seat and venue of arbitration shall be Mumbai, Maharashtra, India.
- The language of arbitration shall be English.
- The decision of the arbitrator shall be final and binding on both parties.
14.3 Injunctive Relief
Nothing in this clause shall prevent Circle8 from seeking interim or injunctive relief from a competent court to prevent actual or threatened misuse of the platform or its data.
14.4 Time Limit for Claims
Any claim or cause of action arising out of or related to the use of the platform must be filed within one (1) year after such claim or cause of action arose, failing which it shall be permanently barred.
14.5 Costs of Dispute Resolution
Unless otherwise directed by the arbitrator, each party shall bear its own legal costs and equally share the administrative fees of arbitration.
15. Changes to Terms
15.1 Right to modify terms
Circle8 Cleantech Private Limited reserves the right to modify, update, or revise these Terms & Conditions at any time, in whole or in part, at its sole discretion.
Changes may be made to reflect:
- Updates to applicable laws, rules, or CPCB guidelines
- Platform enhancements, new features, or service changes
- Clarifications, operational policies, or risk mitigation measures
Users are expected to review the updates on such Terms periodically on the Platform.
15.2 How users will be notified
When material changes are made to the Terms, it shall be updated on the Platform with the “Last Updated” date at the top of the Terms & Conditions document to reflect the most recent revision. Registered users may also be notified via their registered email address and/or via in-platform notifications.
Continued use of the platform after notification shall constitute acceptance of the revised Terms. If a user does not agree with the updated Terms, they may discontinue use of the platform and request account closure by writing to support@circle8.in.
